Terms of Service

1. Service Description

Vireo Markets ("Service") is operated by Rhaetia Ventures Oy (Business ID 3602165-5, "we", "us"). The Service is an information aggregation and alert platform that collects, classifies, and presents publicly mandated regulatory disclosures about insider transactions in listed companies, and delivers email alerts to subscribers.

The information presented by the Service is sourced from public regulatory filings made pursuant to Article 19 of the EU Market Abuse Regulation (MAR) and equivalent national regulations. This information is published by issuers as a legal obligation and is publicly available from official regulatory databases.

2. Important Notice: Not Investment Advice

The Service is an information service only. It is not an investment service, investment advisory service, or asset management service within the meaning of the Finnish Investment Services Act (sijoituspalvelulaki) or Directive 2014/65/EU (MiFID II).

The Service does not provide investment recommendations, personal investment advice, or financial planning services. The Service does not manage client assets or execute securities transactions.

The information presented through the Service should not be interpreted as a recommendation to buy, sell, or hold any security. Investment decisions are solely the responsibility of the user. Past insider transactions do not predict future returns. Users should consult a qualified financial advisor before making investment decisions.

3. Account Registration

To use certain features of the Service, you must create an account by providing a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Subscription Plans and Pricing

The Service offers free and paid subscription plans. Current plans and pricing are displayed on the pricing page at vireomarkets.com/pricing. Prices are stated in euros (EUR) and include applicable taxes where required.

Paid subscriptions are available as monthly or annual plans. Annual plans are charged as a single payment for a 12-month period. Monthly plans are charged monthly.

Founding member pricing is available to the first 50 paying subscribers and remains locked at the founding rate for as long as the subscription remains active. If a founding member cancels and later resubscribes, founding pricing is no longer available.

5. Payment and Billing

Payments are processed by Paytrail Oyj (Business ID 2122839-7), a payment institution licensed by the Finnish Financial Supervisory Authority. We do not store your credit card details. Card information is handled entirely by Paytrail in accordance with PCI DSS standards.

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You authorize us to charge your payment method on file for each renewal period.

6. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, your paid access continues until the end of the current billing period. No partial refunds are provided for unused portions of a billing period.

After the current period ends, your account reverts to the free tier. Your watchlist data is preserved and becomes active again if you resubscribe.

7. Free Tier

The free tier allows following one company with instant email alerts. No payment method is required. The free tier may be subject to feature limitations as described on the pricing page.

8. Data Accuracy and Availability

The Service presents information sourced from public regulatory databases. We make reasonable efforts to ensure accuracy and timeliness but do not guarantee that the information is complete, accurate, or current. Regulatory sources may contain errors, delays, or omissions that are outside our control.

The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation. Scheduled and unscheduled maintenance may temporarily affect availability.

9. Intellectual Property

The Service, including its design, software, classification logic, and alert system, is the intellectual property of Rhaetia Ventures Oy. The underlying regulatory data presented through the Service is public information and is not claimed as our intellectual property.

You may not copy, reproduce, distribute, or create derivative works based on the Service itself without our written consent. This does not restrict your right to use the public regulatory information presented through the Service.

10. Limitation of Liability

To the maximum extent permitted by law, Rhaetia Ventures Oy shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service, including but not limited to investment losses based on information presented through the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you have paid for the Service in the 12 months preceding the claim.

11. Modifications to Terms

We may modify these terms at any time. Material changes will be communicated via email to registered users at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the modified terms.

12. Governing Law and Dispute Resolution

These terms are governed by Finnish law. Disputes shall first be sought to be resolved through negotiation. If negotiation fails, disputes shall be resolved by the District Court of Espoo, Finland.

Consumers resident in the EU may also submit disputes to the consumer dispute resolution body of their country of residence or to the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
